Contract review problems often come from missing one or two critical changes rather than misunderstanding the whole document. A checklist helps reviewers slow down at the right places and confirm that each important area has been checked before sign-off.
Check pricing, payment terms, renewal language, liability caps, service scope, and dates before moving into stylistic changes. These are the terms most likely to create downstream issues.
Pay close attention to indemnity, limitation of liability, termination rights, confidentiality, and governing law. Small edits in these areas can materially change the agreement.
If the contract passed through legal, procurement, sales, or finance review, confirm that required edits actually made it into the current version and were not overwritten later.
A checklist helps reviewers confirm that critical legal and commercial changes were not missed before approval or signature.
Both can be useful. DOCX is often better earlier in drafting, while PDF is common closer to final approval.
